1. Acceptance
These Terms of Service ("Terms") govern your access to and use of Xenia (xeniadata.com, internal.xeniadata.com, and any sub-properties, services, APIs, or features made available under the "Xenia" name, collectively the "Service"). The Service is operated by Xenia Data ("Xenia," "we," "us," or "our"), with its principal place of business at 4438 Ingraham St, PMB 216, San Diego, CA 92109.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, in which case "you" refers to that organization.
2. What Xenia is
Xenia is a hotel data aggregator. Xenia collects, organizes, validates, and displays factual information about hotel and lodging properties. Xenia produces three kinds of information:
- Verified facts (Tier 1). Objective attributes cross-validated across multiple lawful sources or licensed feeds.
- Self-reported attributes (Tier 2). Claims made by property owners about their own properties, attributed to the property.
- Xenia-derived insights (Tier 3). Inferences produced by Xenia's analytical systems from lawful inputs, accompanied by methodology disclosure.
Xenia is NOT a re-publisher of third-party reviews, descriptions, or photographs. Where the Service displays content sourced from a third party, it is displayed under the Authors Guild v. Google / Perfect 10 v. Amazon.com snippet-and-link model, not as a full-text mirror.
3. Eligibility
You must be at least 18 years old to access the Service. If you are under 18, you may not access or use the Service. By accessing the Service, you represent that you are at least 18.
You may not access the Service if you are barred from receiving services under the laws of the jurisdiction in which you are accessing the Service.
4. Account registration (Scope A internal users; Scope B partner properties; Scope C commercial users)
To access certain features, you may be required to register an account. You agree to provide accurate, current, and complete information during registration and to keep your account information current. You are responsible for maintaining the confidentiality of your account credentials.
You may not share your account credentials with others or allow others to access the Service through your account except in accordance with our authorized-user provisions for partner organizations.
5. Acceptable use
You agree NOT to:
- Use the Service to violate any law or regulation
- Attempt to access content not made available to you
- Use the Service to harvest or scrape data in violation of our crawler policy (see https://xeniadata.com/crawler)
- Reverse-engineer, decompile, or attempt to extract the source code of any portion of the Service
- Use the Service to send unsolicited communications
- Misrepresent yourself or your affiliation with a property
- Submit false, misleading, or fraudulent information through any submission interface (including the property owner onboarding portal)
- Use Xenia's content to train any third-party AI system without express written license from Xenia
- Use Xenia data to populate any commercial database that competes with Xenia's commercial offering
6. Content you submit
If you submit content to the Service — including but not limited to property attestations, reviews of properties at which you stayed, photographs of properties you own or manage, or dispute submissions — you represent and warrant that:
- You own or have all necessary rights to the content you submit
- The content does not infringe any third party's rights
- The content is accurate and not misleading
- You consent to Xenia's display, processing, analysis, and use of the content as set forth in these Terms
6.1 Submitter license grant (CRITICAL — material to Section 11 compliance)
By submitting content to the Service, you grant Xenia a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, sublicensable license to:
- Host, store, reproduce, display, distribute, modify, create derivative works of, and otherwise use the content in connection with the Service
- Use the content as an input to Xenia's analytical systems, including any present or future AI inference systems
- Use the content for the development, training, fine-tuning, evaluation, or operation of Xenia's classifiers, scorers, and analytical models
- Display the content (or derivatives thereof) to other users of the Service
- Aggregate the content into statistics and derived insights
- Sublicense the content to Xenia's service providers, contractors, and partners as necessary for Service operation
This license grant is explicit and material to Xenia's compliance with Section 11.2 of its Legal Framework (lawful acquisition of training data). You may revoke this license at any time by deleting your submission and notifying Xenia in writing; revocation applies prospectively only and does not affect derivative works already created.
6.2 Reviews submitted by guests
If you submit a review of a property where you stayed, you additionally represent:
- You actually stayed at the property
- The review reflects your honest experience
- You have not been paid, incentivized, or required to submit the review in any specific tone
Xenia complies with the FTC Consumer Review and Testimonials Rule, 16 CFR Part 465. We do not generate or display fake reviews. We do not suppress lawful negative reviews. We may verify your stay through booking-confirmation cross-checks with the property's PMS (e.g., Cloudbeds) before publishing your review.
6.3 Property attestations by owners
If you submit content as a property owner attesting to attributes of your property (room count, amenities, policies, etc.):
- You represent that you own or have authority to act on behalf of the property
- You represent that the attestations are accurate as of the date of submission
- You agree to update the attestations within 30 days of any material change
- You acknowledge that Xenia may display the attestations as "the property describes itself as..." with full attribution
7. Content Xenia provides
7.1 No warranty of accuracy
Xenia provides information about properties on a best-effort basis. While Xenia's compliance framework requires cross-validation, methodology disclosure, and right-to-respond mechanisms, Xenia makes no warranty that any specific item of information is accurate, current, or complete. You should not rely on Xenia as the sole source for booking, travel, accessibility, or safety decisions. Xenia's insights are decision-supporting tools, not authoritative substitutes for direct verification with the property.
7.2 Tier 1 / Tier 2 / Tier 3 distinction
When you access information on the Service, you will see one of three classifications:
- Verified Fact (Tier 1). Cross-validated; displayed without attribution as a factual statement.
- Self-Reported (Tier 2). The property's own claim; displayed with explicit attribution to the property.
- Xenia Insight (Tier 3). Derived inference; displayed with methodology disclosure and a confidence score.
Always check the tier label before relying on a specific data point.
7.3 Sensitive attributes
For attributes Xenia classifies as sensitive (LGBTQ+ accommodation, accessibility, family-safety, religious accommodation, cultural-affinity, safety inferences, health/wellness claims with medical implications):
- Elevated validation standards apply (Xenia Legal Framework v1.2 Section 6.2)
- Negative sensitive inferences are never published by Xenia regardless of signal strength (Section 6.3)
- The right-to-respond mechanism applies with priority handling
If you require absolute confirmation of a sensitive attribute (e.g., wheelchair accessibility, kosher kitchen) for booking purposes, contact the property directly. Xenia attestations are informational, not warranties.
8. Intellectual property
8.1 Xenia's content
The Service, including the Xenia schema, the field classification system, the methodology framework, the display language library, the original photographs and editorial content Xenia produces, the codebase, and the brand assets, are owned by Xenia Data and protected by U.S. and international copyright, trademark, and other intellectual property laws.
Xenia's three-tier classification architecture (Tier 1 / Tier 2 / Tier 3), the Section 12.4 Display Language Library, and the Xenia Legal Framework are creative selection/arrangement work product of Xenia Data.
8.2 Permitted user uses
You may:
- View, read, and use the Service for personal, non-commercial purposes
- Quote short excerpts of Xenia content with attribution to Xenia (Tier 1 facts, by their nature, are not copyrightable per Feist; but Xenia's selection and arrangement is)
- Embed links to Xenia property pages on personal websites, social media, and similar non-commercial contexts
8.3 Prohibited user uses
You may not, without Xenia's express written license:
- Reproduce, redistribute, or republish substantial portions of the Service
- Use Xenia content to train AI models for any party other than Xenia
- Copy Xenia's schema, classification system, or methodology framework into a competing database
- Use Xenia's marks, logos, or brand assets in any manner that suggests Xenia endorses you, your product, or your service
- Scrape, harvest, or extract data from the Service through any automated means except through the Xenia public crawler-information page and only as permitted there
8.4 Xenia's use of third-party content
Where the Service displays content sourced from third parties, Xenia does so under the Authors Guild v. Google / Perfect 10 v. Amazon.com / Field v. Google fair-use snippet-and-link framework or under express license. Third-party copyright holders may submit DMCA notices via https://xeniadata.com/dmca.
9. AI-generated content disclosure
Some content displayed on the Service is generated by Xenia's analytical systems. This includes Xenia-derived insights (Tier 3), property summaries, sentiment scores, and similar analytical outputs. Such content is clearly labeled with the Xenia Insight indicator and accompanied by methodology disclosure.
Xenia complies with California Assembly Bill 2013 (Generative AI Training Data Transparency Act, effective January 1, 2026). Xenia's training-data summary is published at https://xeniadata.com/methodology Section 6.
10. Privacy
Xenia's collection and use of personal information is governed by the Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the Privacy Policy.
For users in California, your rights under the California Consumer Privacy Act and California Privacy Rights Act are described in the Privacy Policy.
11. Termination
Xenia may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause and with or without notice. You may stop using the Service at any time.
Termination of access does not terminate any license grant you have provided under Section 6.1 with respect to content already incorporated into Xenia's analytical systems, except as described in Section 6.1.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. XENIA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT INFORMATION ON THE SERVICE WILL BE ACCURATE, CURRENT, OR COMPLETE.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, XENIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER OR NOT XENIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
XENIA'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE AMOUNT YOU HAVE PAID TO XENIA IN THE TWELVE MONTHS PRECEDING THE CLAIM.
CERTAIN JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES; THE FOREGOING LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.
14. Indemnification
You agree to indemnify and hold harmless Xenia and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms, (b) content you submit to the Service, or (c) your violation of any law or third-party rights.
15. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in San Diego County, California. You consent to personal jurisdiction and venue in those courts.
Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
If you are a consumer accessing the Service from outside California, certain consumer-protection laws of your jurisdiction may apply notwithstanding this section.
16. Changes to these Terms
Xenia may update these Terms from time to time. Material changes will be announced on the Service at least 30 days in advance of taking effect, except where changes are required by law or to address an active security or compliance concern. Your continued use of the Service after the effective date of a change constitutes your acceptance of the change.
17. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Xenia regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions shall continue in full force and effect.
- No waiver. Xenia's failure to enforce any provision shall not constitute a waiver of that provision.
- Assignment. You may not assign these Terms; Xenia may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices. Notices to Xenia must be sent to [email protected] with a copy to the mailing address in Section 1.
